| 内容記述 | This study develops an empirical framework that conceptualizes inside directors(CTO/CFO) as providers of supplementary information and derives testable implications for the continuity of R&D spending from the advisory/monitoring trade-off of boards. Using descriptive evidence on Japanese firms, we show that the appointment of CTO and CFO tends to increase with outside director representation, that board independence correlates with both higher numbers of outside directors and outside chairs, and that CEO–COO duality remains prevalent, particularly in statutory auditor boards. These findings suggest that under concentrated authority, the allocation of board expertise significantly shapes managerial decision-making. The study contributes by applying U.S. evidence to the Japanese institutional context, linking board expertise allocation to investment decisions, and introducing R&D continuity as a new evaluative dimension in governance reform. | |||||||||||
